Terms & Conditions of Subscription
Effective Date: 20 July 2025
- Acceptance of Terms
By purchasing or subscribing to any package or service from TrulyPOS (“the Service”), you (“the Subscriber” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, the Privacy Policy, and any other applicable policies or notices issued by TrulyPOS. These Terms constitute a legally binding agreement between you and EarthBorn India Pvt Ltd, the developer and licensor of TrulyPOS, based in Pune, Maharashtra, India.
- Subscription Packages
- Subscription packages, pricing, and features are clearly displayed on the TrulyPOS website or official communication and may be updated at any time without prior notice.
- Packages are billed on a monthly or annual basis, as per your selection during registration.
- All prices are exclusive of applicable taxes (GST), unless otherwise specified. Taxes will be added as per Indian law.
- All features described under a package are available only while your subscription is active and paid in full.
- User Accounts
- You must provide true, accurate, current, and complete information for account creation and subscription purposes.
- You are responsible for maintaining the confidentiality of your username, password, and account credentials.
- You are fully responsible for all activities under your account, including actions of users you add under your business profile.
- TrulyPOS is not responsible for any unauthorized access to your account due to your negligence or failure to secure your credentials.
- Payment & Renewal
- Payment must be made in advance for all subscription packages, using supported payment methods (credit/debit card, UPI, net banking, etc.).
- Unless otherwise notified, your subscription will renew automatically at the end of each billing cycle, and the applicable fee will be charged.
- If payment is not received on time, TrulyPOS reserves the right to suspend or terminate your account and restrict access to the Service.
- No refunds will be issued for partial months, annual subscriptions after renewal, or for unused features or time periods.
- You are responsible for cancelling your subscription before renewal if you do not wish to continue the Service.
- Use of the Service
- TrulyPOS is a licensed SaaS solution. You are granted a limited, non-exclusive, non-transferable right to access and use the Service for your internal business operations only.
- You shall not resell, sublicense, lease, or otherwise allow third parties to access the Service without explicit written consent from EarthBorn India Pvt Ltd.
- You agree not to use the Service for any unlawful, prohibited, or unauthorized activities, including but not limited to fraudulent billing, data theft, or system abuse.
- You shall comply with all applicable laws and regulations of India, including data privacy and GST compliance requirements.
- Data Security & Privacy
- We take commercially reasonable measures to safeguard your business and customer data from unauthorized access, use, or disclosure.
- You retain full ownership of your data. By using TrulyPOS, you grant us the right to process, store, and back up your data as necessary to provide the Service.
- All data is hosted securely on servers within India or reputable cloud providers, and access is restricted as per our Privacy Policy.
- In the event of account closure, your data will be retained for up to 60 days for backup and compliance purposes before permanent deletion.

- Service Availability & Updates
- We target 99.5% uptime for TrulyPOS, excluding planned maintenance and circumstances beyond our control (force majeure, ISP issues, etc.).
- We may implement updates, patches, new features, or maintenance at any time. You may be notified in advance for major changes.
- Temporary interruptions for upgrades or maintenance will be minimized and, if possible, scheduled during off-peak hours.
- Add-ons & Integrations
- Use of TrulyPOS add-ons, third-party plugins, or API integrations is subject to their respective terms and policies.
- EarthBorn India Pvt Ltd is not responsible for any issues arising from use of third-party integrations, including but not limited to data loss, data breach, or downtime.
- It is your responsibility to ensure that any integrations comply with local laws and do not violate TrulyPOS terms.
- Termination
- You may cancel your subscription at any time via your TrulyPOS dashboard or by contacting support.
- We reserve the right to suspend or terminate your access immediately if you breach these Terms or engage in unlawful or abusive activity.
- Upon termination, all access to TrulyPOS will be revoked, and your data will be handled as described in our data retention policy.
- Outstanding fees or dues remain payable even after termination.
- Limitation of Liability
- TrulyPOS, EarthBorn India Pvt Ltd, and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of or inability to use the Service.
- Total liability in any case shall not exceed the subscription fees paid by you in the 12 months prior to the claim.
- The Service is provided “as is” and “as available” without warranties of any kind, except as expressly stated.
- Modifications
- We reserve the right to update or revise these Terms & Conditions at any time. Updated terms will be posted on our website and/or notified via email. Continued use of the Service constitutes acceptance of the new terms.
- Governing Law & Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India. The exclusive legal jurisdiction for any dispute shall be Pune, Maharashtra.
- Disputes, if any, will be resolved by mutual discussion, failing which courts in Pune will have exclusive jurisdiction.
